Director
Zach provides strategic counsel and communications support to companies across industries in a wide range of special situations, including mergers and acquisitions, shareholder activism defense, bankruptcies, and management changes. He also assists clients with ongoing investor relations, corporate communications and crisis management. His areas of expertise include:
Transaction Communications
Zach has advised companies on a variety of both friendly and unsolicited M&A transactions. Notable experience includes working with: Bristol Myers Squibb in its acquisitions of Celgene Corporation and Turning Point Therapeutics; Concert Pharmaceuticals in its sale to Sun Pharma; Crestwood Equity Partners in its pending sale to Energy Transfer; Denbury in its pending sale to ExxonMobil; and DTE Energy in its spin-off of DTE Midstream.
Bankruptcy & Restructuring
He has experience advising clients on Chapter 11 reorganizations and Section 363 asset sales. Recent assignments include Center for Autism and Related Disorders (CARD®), Carestream Health, Eagle Infrastructure Services, and Catalina Marketing.
Shareholder Activism
He has worked with a number of companies in activism situations and proxy contests opposite Elliott Management, Starboard Value, JANA Partners, DE Shaw and Land & Buildings, among others.
Investor Relations & Public Relations
He works with public companies to enhance overall communications strategies, including corporate positioning, quarterly earnings preparation, investor days, thought leadership activities and employee communications.
Crisis Communications
Recent projects include advising clients involved with management succession and unplanned leadership changes, workforce reductions, data breaches, short attacks, regulatory inquiries and SEC investigations.
Zach joined Joele Frank in 2018. He received a BS in Business Administration from Boston University.
