Recent transactions include: AEA-Bridges Impact Corp. on its SPAC business combination with Harley-Davidson’s electric motorcycle division LiveWire; S&P Global on the sale of OPIS to News Corp. and its combination with IHS Markit; Reinvent Technology Partners on SPAC business combinations with Joby Aviation, Hippo, and Aurora; Apollo on its acquisition of Athene; the special committee of the Board of Directors of Tribune Publishing Company on the company’s sale to Alden Global Capital; CC Capital on Collier Creek’s SPAC business combination with Utz Brands, its acquisition of Dun & Bradstreet, and its acquisition and sale, with Blackstone, of Fidelity & Guaranty Life; Broadcom on its acquisitions of Symantec’s enterprise security business and CA Technologies, and its proposal to acquire Qualcomm; Gannett on its sale to New Media and its successful defense of an unsolicited proposal by MNG; Cornell Capital-owned Corelle Brands on its merger with Instant Brands, maker of the Instant Pot; Apollo-owned Momentive on its sale to an investor group comprised of SJL Partners, KCC Corporation and Wonik QnC Corporation; LifePoint Health on its sale to Apollo-owned RCCH Healthcare Partners; Honeywell on spinoffs of both its Homes and Transportation Systems businesses; INC Research on its merger with inVentiv Health; and VCA on its sale to Mars.

Crisis & Issues Management
He has considerable experience advising clients in connection with shareholder activism, data breaches, management changes, defense against short sellers, regulatory actions and inquiries, and high-profile litigation.
Restructuring & Bankruptcy
He has advised clients on in-court Chapter 11 reorganizations and out-of-court restructurings. Recent matters include: Avianca Holdings, Constellis, General Wireless (RadioShack), Homer City Generation, Libbey, Pier 1, Taco Bueno Restaurants and The Bon-Ton Stores.
Tim joined Joele Frank in 2016. He previously worked at Prosek Partners, where he advised clients across asset management, financial and professional services, and at the global law firm Kirkland & Ellis LLP, where he supported firm management and senior partners on media relations and communications.
Tim received an MS in finance from the University of Rochester’s Simon Business School, an MA in journalism from the University of Missouri-Columbia and a BA cum laude from Princeton University.
