During a career spanning New York and London, Tim has advised companies and individuals on communications strategy in a wide variety of transactions and corporate situations, with a particular focus on multinational companies, activism defense and cross-border transactions.

Shareholder Activism

He has helped hundreds of companies engage with all of the well-known activist shareholders, and quite a few that you’ve never heard of. Engagements that stand out for Tim include helping Target win its proxy fight against Pershing Square, Select Comfort do the same against Blue Clay, and his first proxy fight — a loss against Shore Capital suffered by Patientline.

Mergers & Acquisitions

He has advised U.S. and international companies across a wide range of different sectors on communications in both friendly and hostile transactions. Some notable deals include: Southwest Gas in its sale of MountainWest and planned separation of Centuri in the wake of a proxy fight with Carl Icahn; Kansas City Southern in its plans to sell the company first to Canadian Pacific, then Canadian National, and then ultimately to Canadian Pacific again; and Men’s Wearhouse in its Pac-Man acquisition of Jos. A. Bank.

Crisis Communications

Having started his career helping his clients spar with the U.K. media, he has gone on to provide strategic counsel and handled media relations for companies experiencing a wide range of crises, including government and regulatory investigations, management change and restructuring. He has defended against short attacks from hedge funds including Hindenburg, Jehoshaphat, and Spruce Point. During the pandemic, Tim worked through a series of issues with Tenet Healthcare, which runs hospitals and ambulatory care centers, and Brookdale Senior Living, America’s largest operator of senior living homes.

Investor Relations & Public Relations

He has developed and implemented communications plans to help companies present their strategy to the capital markets and keep their shareholders, regulators, employees, customers and other constituents informed. Some of his clients in this area have been Scottish Power, Sleep Number and Ebix.

Tim joined Joele Frank in 2006 and has been a Partner since 2011. He previously served as a Consultant at Tulchan Communications, a capital markets consultancy based in London, England. Tim graduated from Edinburgh University with an MA (hons) in Classical Studies. He received a Graduate Diploma in Law from the College of Law, London.
