Tali provides strategic communications counsel to companies on a wide range of special situations, including high-profile corporate events, mergers or acquisitions, proxy contests and executive leadership changes.

Mergers and Acquisitions

She advises companies on communications in both friendly and unsolicited M&A transactions. She also has significant expertise in integration and change management communications. Notable assignments include: 3M and its spin-off of its Health Care Business; Cornerstone Building Brands in its take-private with CD&R; Cornerstone OnDemand in its take-private with Clearlake; FirstCash in its acquisition of American First Finance; Lockheed Martin in its proposed acquisition of Aerojet Rocketdyne; Bristol Myers Squibb in its acquisition of Celgene; Fiserv in its acquisition of First Data; Waste Management in its acquisition of Advanced Disposal; Avon Product in its combination with Natura&Co; Edgewell Personal Care’s proposed acquisition of Harry’s; Husky Energy in its proposal to acquire MEG Energy; LSC’s in its proposed sale to Quad/Graphics; Bemis in its combination with Amcor; Cronos Group in connection with its investment from Altria; International Flavors & Fragrances in its acquisition of Frutarom; and Broadcom in its acquisition of CA Technologiesand its proposal to acquire Qualcomm.

Shareholder Activism

She has advised on numerous public and private activist situations, helping companies defend against some of the most notable activist investors, including Carl Icahn, Elliott, JANA, Starboard, Trian, Land & Buildings, Sarissa, Engaged Capital and Legion. Among the situations, she has advised Box, Huntsman, Mercury Systems, Kroger, Ventas, American Campus Communities, Evergy, Bed Bath & Beyond and Pernod Ricard.

Crisis Communications

She has significant experience supporting clients in crisis preparedness, as well as in responding to crises in real time. Recent projects include advising companies on earnings surprises and financial restatements, unplanned leadership changes, and workforce reductions. She has also worked with clients on a variety of issues stemming from COVID-19, including workforce-related actions and financial updates.

Investor Relations and Public Relations

She assists public companies in enhancing their overall communications strategy, including corporate positioning, quarterly earnings preparation and employee communications.

Tali received a BA from George Washington University with a major in Organizational Science.
