Mergers & Acquisitions
He advises companies on friendly and unsolicited transactions, contested mergers, as well as other special situations. Recent assignments include advising South Jersey Industries in its acquisition by IIF; Merck in its acquisition of Acceleron; American Tower in its acquisition of CoreSite; Scientific Games in its divestiture of OpenBet to Endeavor Group and the divestiture of its Lottery business to Brookfield Business Partners; Emerson in its acquisition of a controlling interest in Aspen Technology; Cantel Medical in its sale to Steris; SPX Flow in its acquisition by Lone Star; Ali Group in its acquisition of Welbilt; Mylan in its combination with Upjohn, a division of Pfizer; Circor in its successful defense against an unsolicited proposal from Crane; Simply Good Foods in its acquisition of Quest; Gannett in its sale to New Media Group and in its successful defense of an unsolicited proposal by MNG, and previously in its unsolicited proposal to acquire Tribune Publishing; Papa John’s in its strategic investment from Starboard Value; Red Hat in its sale to IBM; athenahealth in its sale to Veritas; and DST in its sale to SS&C.
Spin-offs
He has significant experience advising companies on separations and spin-offs including MGM in the separation of MGM Growth Properties; Dover in its spin-off of Apergy and previously in its spin-off of Knowles; InvenTrust in the spin-off of Highlands and in its spin-off of Xenia Hotels & Resorts; Manitowoc in the spin-off of its Foodservice business; and Motorola in its separation of Motorola Mobility.
Shareholder Activism
He has advised on more than 100 public and private shareholder activism matters and has defended companies against some of the most high-profile activist investors, including against Elliott (Crown Castle, Pernod Ricard, athenahealth); Carl Icahn (Crown Holdings, Dana, Delek, Clorox, Manitowoc, Oshkosh); Starboard (GCP Applied Technologies).
Other recent public assignments include advising SpartanNash (Macellum and Ancora); Turtle Beach (Donerail); Bed Bath & Beyond (Legion Partners, Macellum and Ancora); Virtusa (New Mountain Capital); MGM (Corvex); Macquarie Infrastructure Corporation (Moab Capital); Sina Corporation (Aristeia); and Team Inc. (Engine Capital).
Crisis Communications
These matters include unplanned leadership changes, federal investigations, regulatory inquiries, product recalls, closures and workforce reductions.
Nick is a member of the National Investor Relations Institute (NIRI) and was named to the NIRI 2022 Class of Rising Leaders Under 40. He received a B.A. in communications, with a minor in business administration, from Northeastern University.
