Mike provides strategic communications advice and counsel to public and private companies involved in special situations, including mergers and acquisitions, shareholder activism and proxy contests, executive leadership changes and crisis management.

Mergers & Acquisitions

He works with clients on both friendly and unsolicited transactions. Notable assignments include: S&P Global on its combination with IHS Markit; Exact Sciences in its acquisition of Thrive Earlier Detection; Pattern Energy in its transaction with CPP Investments; the Infrastructure Investments Fund in its acquisition of El Paso Electric; Anadarko in its transaction with Occidental Petroleum; Newmont Mining with its acquisition of Goldcorp and its announcement of a new joint venture with Barrick Gold; athenahealth in its going private transaction with Veritas Capital and Evergreen Coast Capital; Penn National Gaming’s acquisition of Pinnacle Entertainment; Convergys Corporation on its sale to SYNNEX Corporation; and Rackspace on its go-private transaction with Apollo Global Management; CenturyLink’s merger with Level 3; Agrium and PotashCorp in their merger of equals.

Shareholder Activism

He has experience working with companies in activism situations and proxy contests opposite Corvex Management, Elliott Management, Starboard Value, Third Point, Trian Partners, ValueAct, and 40 North Management, among others.

Crisis Management

He assists management teams and Boards of Directors in a variety of situations, including unplanned leadership changes, defense against short sellers, litigation, restructuring and workforce consolidation.

Public and Investor Relations

He helps companies enhance their IR and PR programs, including corporate positioning, profile-raising, thought leadership, employee communications and quarterly earnings preparation.

Mike joined Joele Frank in 2016. Prior to Joele Frank, Mike previously served as an analyst at Tulchan Communications, a capital markets consultancy based in London, England. He received a BA in English, with a minor in Communications from Villanova University.
