Mahmoud has more than 20 years of investor relations and financial communications experience working with domestic and international companies across a range of industries. His areas of expertise include:
Investor Relations
He has advised clients on all aspects of investor relations strategy and programming, including effective investment narrative development, institutional targeting and marketing, and IR program planning and execution. With a focus on developing goal-oriented and impactful IR programs, he has a track record of assisting clients to broaden and deepen their institutional shareholder base, plan and execute high profile IR Days and other investor-focused events, gather and analyze investor feedback, improve quarterly and ongoing investor communications and materials, and increase shareholder value.
Corporate Actions and Special Situations
He has helped clients to successfully navigate through significant corporate events including friendly and unsolicited M&A transactions, go-privates, spin-offs, crisis situations, initial public offerings and other capital markets events. Notable assignments include: Herman Miller in its acquisition of Knoll; Inovalon in its acquisition by an equity consortium led by Nordic Capital and Insight Partners; NIC Inc. in its acquisition by Tyler Technologies; Interxion in its acquisition by Digital Realty; Connecticut Water in its acquisition by SJW Group; Cronos Group in its strategic investment from Altria Group; Gartner in its acquisition of CEB; Panera Bread in its acquisition by JAB; Enbridge in its acquisition of Spectra Energy; Time Warner in its hostile takeover defense against 21st Century Fox; and Rayonier in its spin-off of Rayonier Advance Materials.
Shareholder Activism
Notable assignments include: Procter & Gamble (Trian); Louisiana-Pacific (D.E. Shaw); LKQ Corp. (Value Act); Western Asset Management (Saba Capital); Knowles Corp. (Caligan Partners); Ironwood Pharmaceuticals (Sarissa); Benchmark Electronics (Engaged Capital); RealD (Starboard Value); CorpBanca (Cartica); and Callon Petroleum (Lone Star Value).
Mahmoud joined Joele Frank in 2013. Previously, he worked at Taylor Rafferty, a pioneering cross-border investor relations consultancy advising clients on the development of best-practice, goal-oriented investor relations programs. During his tenure at Taylor Rafferty, Mahmoud spent two years as Head of Asia based in the firm’s Hong Kong office. He received a BA, with honors, from Colby College.
