Haley provides strategic counsel and communications support to companies across industries in a broad range of special situations and high-profile events, including mergers and acquisitions, restructuring and bankruptcies, shareholder activism defense and crisis management. In addition, she works with clients to develop and refine their investor and public relations programs. Her areas of expertise include:

Mergers & Acquisitions

She advises companies in friendly and unsolicited transactions. Recent assignments include advising Ritchie Bros. in its contested acquisition of IAA; Sierra Wireless in its sale to Semtech; Thermo Fisher in its acquisition of The Binding Site Group; Broadcom in its pending acquisition of VMware and acquisitions of Symantec’s enterprise security business and CA Technologies; Herman Miller in its acquisition of Knoll; KEMET in its sale to Yageo; Gannett in its sale to New Media Investment Group; Exact Sciences in its acquisition of Genomic Health.

Restructuring & Bankruptcy

She has experience with both out-of-court restructurings and in-court filings under Chapter 11. Notable assignments include: Avianca, Constellis, Cumulus Media, Libbey, PG&E, Pier 1 and Toys“R”Us.

Shareholder Activism

She works with companies in public and private activist situations to help defend against some of the most notable activist investors, including Ancora Advisors, BlueMountain Capital Management, D.E. Shaw, Elliott Management, FrontFour Capital, Land & Buildings, Legion Partners, Luxor Capital, Macellum Advisors, Moab Capital Partners and Starboard Value, among others.

Crisis Communications

She advises companies managing complex crises or special situations, including litigation, cybersecurity breaches, earnings surprises, internal/board investigations, workforce reductions and facility closures, management succession and unplanned leadership changes.

Investor Relations & Public Relations

She assists public companies in enhancing their overall communications strategy, including corporate positioning, quarterly earnings preparation, employee communications, investor days and annual shareholder meetings. She also provides communications support to private equity firms at both the sponsor and portfolio company level.

Prior to joining Joele Frank in 2016, Haley worked at SunTrust Robinson Humphrey in the Financial Sponsors group. She received a BS from Wake Forest University with a major in finance and a minor in global trade and commerce studies.
