Dan provides financial and crisis communications counsel to companies involved in transactions and special situations, including shareholder activism defense, proxy contests and short attacks; negotiated mergers and acquisitions and unsolicited takeovers; and bankruptcies and restructurings. He also assists clients with ongoing investor relations, corporate communications and crisis management. His areas of expertise include:

Shareholder Activism

He has advised on numerous public and private activist situations, helping companies defend against some of the most notable activist investors, including Carl Icahn, Corvex, Elliot, JANA, Pershing Square, Starboard, Third Point and Trian. Dan has advised Alere, Angie’s List, Cerner, Darden, Emulex, Ensco, Fred’s, GE, General Growth Properties, Herbalife, Hertz, Monotype, Radian and Williams, among many others.

Mergers & Acquisitions

Notable transactions include advising Broadcom on its proposal to acquire Qualcomm; Dell Technologies’ Special Committee in connection with the company’s acquisition of the tracking stock following Dell’s economic interest in VMware; International Flavors & Fragrances on its acquisition of Frutarom; GE on its transaction with Baker Hughes; NextEra Energy on its proposed acquisition of Oncor; Monotype on its sale to HGGC; ONEOK on its acquisition of ONEOK Partners; Windstream on its merger with EarthLink; Teva Pharmaceuticals on its offer to acquire Mylan and its subsequent acquisition of Allergan Generics; GE on its plan to sell most GE Capital assets; DIRECTV on its merger with AT&T; Williams on its merger with Energy Transfer Equity (and subsequent litigation); Verizon Communications on its agreement to acquire Vodafone’s interest in Verizon Wireless; Sapient on its sale to Publicis; Hertz on its planned separation of its equipment rental business (HERC); Darden on its sale of Red Lobster to Golden Gate Capital; Edison Mission Energy on its sale to NRG Energy through Chapter 11; Constellation Brands on its acquisition of Crown Imports from Anheuser-Busch InBev; Transatlantic on its hostile defense against Validus and merger with Alleghany; Teva Pharmaceuticals on its acquisition of Cephalon; and Omnicare on its unsolicited offer for PharMerica.

Restructuring & Bankruptcy

He has extensive expertise advising companies involved in out-of-court financial restructurings and in-court Chapter 11 reorganizations. Notable assignments include Allens, Altegrity, Barneys New York, Caesars Entertainment Operating Company, Coldwater Creek, Crossmark, David’s Bridal, DirectBuy, EdgeMarc Energy, Edison Mission Energy, Hexion, Kerzner International, Memorial Production Partners, Neways Enterprises, Noranda Aluminum, Performance Sports Group, Pinnacle Airlines, Quiznos, Rural / Metro, Sanchez Energy, Trico Marine Services, West Penn Allegheny Health Systems and Windstream, among many others.

Dan joined Joele Frank in 2011. Previously he worked at FTI Consulting for three years. He is a member of the Arthur W. Page Society’s ‘Page Up’ program. He received a BS from the S.I. Newhouse School of Public Communications at Syracuse University.
