Director
Caroline provides strategic counsel and communications support to companies across industries in connection with a broad range of special situations and high-profile events, including mergers and acquisitions, restructuring and bankruptcies, shareholder activism defense and crisis management. In addition, she works with clients to develop and refine their investor and public relations programs. Her areas of expertise include:
Shareholder Activism
She has experience in activism situations, both public and private, and proxy contests helping companies defend against notable activist investors, including: Starboard, Elliott Management, JANA, Land & Buildings, FrontFour Capital, Canyon Partners, Indaba Capital and Prescience Point Capital, among others.
Bankruptcy & Restructuring
She helps companies prepare for and navigate Chapter 11, Chapter 7 and out-of-court restructurings processes. She also helps companies with emergence communications, including any “reintroduction” to Wall Street following completion of a restructuring. Notable assignments include, among others: Avianca Holdings, Constellis, Crossmark, David’s Bridal, Gymboree, Hexion, Libbey, Pier 1 and Windstream.
Mergers & Acquisitions
She works with clients on both friendly and unsolicited M&A transactions, spin-offs and divestitures.
Recent assignments include: advising Centene in its acquisition of WellCare; Hexcel in its terminated merger with Woodward; KEMET in its sale to Yageo; Pluralsight in its sale to Vista Equity Partners; MorphoSys in its acquisition of Constellation Pharma and U.S. Concrete in its sale to Vulcan.
Crisis & Issues Management
She has advised numerous clients on crisis preparedness and response related to a range of issues, including COVID-19, cybersecurity, workplace misconduct and sexual harassment, regulatory inquiries and SEC investigations, accounting irregularities, unplanned leadership changes, litigation, facility and store closures, workforce reductions and diversity and inclusion issues.
Investor Relations
She helps clients enhance their IR and PR programs, including quarterly earnings preparation, investor conferences and annual shareholder meetings. She also works with clients to enhance their overall communications strategy, including corporate positioning, profile-raising, thought leadership, employee communications and quarterly earnings preparation.
Caroline joined Joele Frank in 2018. She previously worked at Sard Verbinnen & Co. where she provided strategic communications counsel to companies and hedge funds on a variety of transactions, crises and activist campaigns. She received a BA in Government from Georgetown University.
