Director

Caroline provides strategic counsel and financial communications support to clients on a wide range of special situations, including mergers and acquisitions, shareholder activism, leadership changes and crises. She also supports companies to develop and execute ongoing investor relations, public relations, media relations and corporate communications strategies.

M&A/Transactions

She has worked with clients on friendly, take-private, unsolicited and contested transactions. Notable experience includes: supporting Kimberly-Clark on its strategic partnership with Suzano; Apollo on its acquisition of International Game Technology and Everi; ONEOK on its acquisition of Magellan Midstream Partners; SilverBow Resources on its sale to Crescent Energy; R1 RCM on its sale to TowerBrook and Clayton, Dubilier & Rice; Fiesta Restaurant Group on its sale to Authentic Restaurant Brands, a portfolio company of Garnett Station Partners, LLC; Kroger on its agreement to acquire Albertsons; and Broadcom on its acquisition of VMware. Following transaction announcements, she has also supported clients through complex regulatory review processes and M&A integrations.

Shareholder Activism Defense

She has experience supporting on public and private activism situations, including proxy contests, against Carl Icahn, Ancora, Engine Capital, Sarissa Capital, Vision One Management and Kimmeridge Energy Management.

Crisis Communications

She has experience supporting clients with crisis preparedness and responses related to a range of issues, including reputational attacks, misconduct allegations, regulatory inquiries and SEC investigations, data breaches and other cybersecurity incidents, corporate reorganizations and workforce reductions.

Corporate Communications & Reputation Management

She supports clients in enhancing their overall corporate communications strategies, including corporate positioning and message development, quarterly earnings preparation, employee communications, thought leadership and profile raising, analyst days and leadership changes, both planned and unplanned.

Caroline joined Joele Frank in 2020. She received a BSBA in Marketing from the University of Richmond’s Robins School of Business, with a minor in Healthcare Studies.
